Terms and Conditions

1. Advance Payment
Clients are required to pay an advance amount before the commencement of any project. The percentage or amount of the advance will be agreed upon prior to project initiation.
2. Project Scope and Changes
The project scope will be defined and agreed upon before work begins. Any changes or additions to the agreed scope may incur additional charges. Small changes, at the discretion of DataWaves, will not be charged. Clients will be informed of any additional costs for significant changes.
3. Delivery Timelines and Discounts
DataWaves will strive to deliver the product within the agreed timeframe. In case of delays beyond the agreed timeline, additional discounts may be offered as compensation.
4. Ownership and Usage Rights
All intellectual property rights for the final deliverable will belong to the client upon full payment. The delivered software, code, or product is for the client's exclusive use and cannot be resold, redistributed, or transferred to third parties without explicit permission from DataWaves.
5. Confidentiality
Both parties agree to keep all project-related information confidential. DataWaves will not share client data, designs, or code with any third party without prior consent.
6. Client Responsibilities
Clients are responsible for providing complete and accurate project requirements, materials, and any other necessary resources on time. Delays in providing necessary inputs may result in extended timelines.
7. Limitation of Liability
DataWaves is not responsible for losses, damages, or expenses caused by delays, errors, or incomplete requirements provided by the client. Liability for any claim related to the services provided is limited to the total amount paid by the client for the project.
8. Amendments and Updates
DataWaves reserves the right to amend these terms at any time. Clients will be notified of significant changes.
9. Termination
Either party may terminate the agreement if the other party breaches its obligations. Upon termination, the client must pay for all work completed up to the date of termination.
10. Dispute Resolution
Any disputes arising from these terms will be resolved in accordance with [your location’s] legal framework.
11. Force Majeure
DataWaves will not be held liable for delays or failure to perform due to events beyond our reasonable control, including natural disasters, strikes, or technical failures.
12. Acceptance of Terms
By engaging DataWaves, clients acknowledge and agree to these terms and conditions.
